Terms of Service for Stuffly

Welcome to Stuffly, a mobile application provided by Taligent LLC ("we," "us," or "our"). By downloading, installing, or using the Stuffly mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms
By accessing or using Stuffly, you confirm that you are at least 13 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Changes to Terms
We may update these Terms from time to time at our sole discretion. We will notify you of any changes by posting the updated Terms within the App or on our website. Your continued use of the App after such changes constitutes your acceptance of the updated Terms.

3. Use of the App
3.1 License
Subject to your compliance with these Terms, Taligent LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.

3.2 Restrictions
You agree not to:

Modify, reverse-engineer, decompile, or disassemble the App.
Use the App for any illegal or unauthorized purpose.
Interfere with or disrupt the App’s functionality or servers.
Attempt to gain unauthorized access to any portion of the App or related systems.
Use the App to transmit harmful code, malware, or viruses.
4. User Accounts
Some features of the App may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. User Content
You may be able to submit, post, or share content through the App ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Taligent LLC a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, and display the User Content in connection with operating and improving the App. You represent that your User Content does not violate any third-party rights or applicable laws.

6. Intellectual Property
The App, including its design, text, graphics, logos, and software, is owned by or licensed to Taligent LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from the App without our prior written consent.

7. Third-Party Services
The App may contain links to or integrations with third-party services. We are not responsible for the content, privacy policies, or practices of these third-party services. Your use of such services is at your own risk.

8. Termination
We may suspend or terminate your access to the App at our sole discretion, with or without notice, if you violate these Terms or for any other reason. Upon termination, your license to use the App will cease, and you must stop using the App.

9. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the App will be uninterrupted, error-free, or free of viruses.

10. Limitation of Liability
To the fullest extent permitted by law, Taligent LLC, its affiliates, officers, directors, employees, or agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App. Our total liability to you for any claim will not exceed the amount you paid, if any, to use the App.

11. Indemnification
You agree to indemnify and hold Taligent LLC harmless from any claims, losses, or damages, including reasonable attorneys’ fees, arising out of your use of the App, your User Content, or your violation of these Terms or applicable law.

12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved through binding arbitration in Delaware, in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits or class-wide arbitration.

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

15. Miscellaneous
These Terms constitute the entire agreement between you and Taligent LLC regarding the App.
If any provision of these Terms is found to be invalid, the remaining provisions will remain in effect.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
